Privacy Policy

Introduction

Our customers are very important to us. We value and want to maintain an excellent and long-term relationship with you. We understand that you have legitimate concerns about the privacy and security of the information that flows through our platform when you use our Loop services.

This Privacy Policy tries to address these concerns by describing the information that we obtain from or about you and how we store, secure and use the information. This Privacy Policy also describes your rights to access, amend and delete the information and rights you have to consent to our use of your information. When we refer in this Privacy Policy to “we” or “us,” we mean Loop HQ Inc., a Delaware corporation. When we refer to “you” or a “user,” we mean anyone who accesses our website or a Loop mobile app and anyone who establishes or uses Loop services. When we refer to “Loop services,” we mean Loop’s Saas services described below and in our Terms of Use.

How Loop Works

In the old days, you may have stored letters, contact lists, calendar events and documents in a metal or wood cabinet with several drawers that you locked with a key. Each drawer probably contained a number of file folders and each folder probably contained a number of documents.

Today, you probably store some or all of this information digitally in e-mail, contacts, calendar and document storage electronic file cabinets known as apps. Each app requires its own key to access the information that is stored there. You may have to open one app to see an e-mail, another app to see contact information for a person you need to reach, a third app to see and respond to a calendar event and still another app to see a document or other file. Each time you open one of these apps, you see all of the information and documents stored in the app and you have to search through all of your e-mails, contacts, calendar events and documents to find what you are looking for.

What if you had one key that opened all of your apps at the same time and automatically, without you searching, displayed in one place all of the e-mails, contact information, calendar events and documents relevant to a particular subject matter?

LOOP IS THAT KEY!

In its simplest form, Loop:

Initial Sync

Logging in to Loop for the first time is easy. You may choose to login with either a Google or Microsoft 365 account. Loop will automatically redirect you to the authorization page for your chosen platform (let's assume Google for this example). Once you have verified your account, Google will securely transmit an encrypted token to Loop. This token will provide Loop access to sync, or link with your Google account via the Google API as detailed below.

Once the initial sync is done, you may sync other source platforms with the Loop system including additional Google or Microsoft 365 accounts, Slack, Dropbox, Asana and Trello. For certain colleges and universities students may sync their CanvasLMS account with Loop. You may also sync other source platforms that in the future we integrate into the Loop system.

The Digest

Once you have linked your source platform(s), Loop will display your digest, which is a snapshot of the important items that are moving and active in your world, cultivated from the source platforms you connected. The digest shows you, in real time, your upcoming meetings, your complete task list and the stream of your messages, files and notifications that need your attention. From this view, you can take quick action to reply, forward, mark complete or open documents as applicable or you can open an individual item to see more contextual information.

Within the digest view, items may be grouped in "Bundles" and you can create "Loops" which are contextually based groupings of different content items. These groupings allow you to quickly visualize how different content items relate to each other. As a result, you will be able to work more efficiently and thoroughly.

Information Collected 

Information You Provide

When you sync a source platform to Loop, you will provide certain personal information, such as an e-mail address, and perhaps other contact information. All information we obtain about you is and remains your property. We never acquire any ownership interest in it.

When you on board Loop services for the first time, you may be asked to provide certain demographic information, including your postal code, gender and education, and information about preferences, attitudes and behavior. We will not request any information from you unless it is appropriate to provide Loop services to you.

When you link source platforms to your Loop account, you automatically provide us with access to all of the information that is stored in these platforms. This includes your e-mail messages, your contact lists and your calendar events. As a result, we have access to all of the information that is contained in your e-mails, contact lists and calendar events. This information could include personal and other sensitive information that is contained in information you previously uploaded to a source platform, such as your personal address, telephone number, social security or passport number, bank account information and information about your health or sexual orientation. For information about our use and storage of this information, please read the sections below entitled “ How We Use Information ” and “ Our Storage of Information. ”

We do not have access to the content of the files stored on the source platforms you link to Loop except as expressly stated in the section below entitled " Our Storage of Information ". However, we do obtain from the source platform certain “metadata,” such as the names of parties, the date and subject or title of the file, a preview of the file and other peripheral information. When you open a file using Loop services, we trigger the source platform to open the file in a new tab of the browser, outside of Loop. For information about our use and storage of this information, please read the sections below entitled “ How We Use Information ” and “ Our Storage of Information .”

When you become a paid subscriber, you will be required to provide payment account information to our third-party payment processor. We do not have any access to and do not store any credit card or other payment account information you provide to the payment processor.

Information We Collect Through Cookies

We automatically collect some information about your visits to use Loop services. This information includes, among other matters, your web request, Internet Protocol address, browser type, referring/exiting pages and navigational data like Uniform Resource Locators (URL’s), geographic location, domain names, pages viewed and the date, time and duration of the visit. This information is not tied to your personal information and cannot be accessed to retrieve this information.

We collect this information through cookies, which are small text files placed in your computer, and electronic Newlmages, known as web beacons or single-pixel gifs. Cookies and beacons do not collect personal or other sensitive information. Information from cookies and beacons is not combined with your personal information to identify your browsing frequency, purchasing activity or other behavior. We do not share cookies and beacons with third persons.

You may disable cookies by following Internet browser help file instructions on your computer. However, we recommend that you not do this. Disabling cookies may diminish the utility of the Loop services in significant ways.

How We Use Information

We use the information we collect only to provide Loop services to you. We do not sell information to any third person. No other user of Loop services has access to your Loop services or any information that Loop maintains for you. We do not use your name or your company’s name in our marketing materials without your prior consent.

We use the information in your storage platforms and the metadata we receive to create maps of related data through key-word search, graph logic and other techniques. We use a nationally recognized third-party service provider to perform the key word search. The service provider does not retain any of the information. Loop service then displays and provides you with access to the information and files stored in your linked source platforms that are relevant to the search.

We also prioritize your information and display for you the most important e-mails and other messages, calendar events and files that are on your linked source platforms. This allows you immediate access to e-mails and other messages, calendar events, files and other requests or matters that appear to require the most immediate attention or response.

When you create an e-mail or other message or a contact, calendar event or document using Loop services, that information is automatically transmitted to and stored in the applicable linked source platform.

We use internally the information we collect about your use of Loop services to:

+ monitor your use of Loop services,

+ help you manage and use Loop services more efficiently and more effectively,

+ enhance the features, functions and efficiency of our systems and services; and

+ create new products, features and technologies.

We may aggregate and anonymize the information about how you access and use Loop services with similar information of other users to accomplish the foregoing. We may share the aggregated and anonymized information with companies with which we have a marketing or other business relationship. We have appropriate confidentiality and data protection agreements with these partner companies.

We will also use or disclose information:

+ to take appropriate action if we suspect fraud or illegal activities in your use of your Loop services;

+ if disclosure is required by applicable law, including in response to a subpoena or other court process; and

+ in response to lawful requests by public authorities, including to meet national security or law enforcement requirements.

Loop does not disclose personal or sensitive information about you to any third person except for the purposes described in this Privacy Policy. Our use of the information received, and its transfer of such information to any other app, from Google APIs will adhere to Google’s Limited Use Requirements.

We may share your information, including personal and other sensitive information, with our subsidiaries or other affiliates. The shared information is subject to this Privacy Policy.

Our Storage of Information

We do not store the contents of the files in your linked source platforms you have linked to your Loop account, except we do store the following information:

+ your e-mail address and other information that you provide to us when you enrolled in Loop services;

+ general account information to facilitate logging in to access and use your Loop services,

+ the contents of e-mails, Slack messages, contact lists and calendar events in your linked source platforms; and

+ the relationship mapping, prioritizations and other information our system creates by reference to the information in your linked source platforms and the metadata we receive.

We have entered into a contract with an internationally recognized third-party provider of cloud-based storage services. Any of the information that we store is forwarded for storage under this contract.

Change or Deletion of Information

We acknowledge that you have the right to access the personal information we maintain that relates to you.

You also have the right to modify and delete any information we have that relates to you. With respect to information that we do not store, you can modify or delete any information in your linked source platform on which the information is stored. This will automatically modify or delete that information with respect to your Loop services. To do so, you should log into your account on the linked source platform and make the modification and deletion in accordance with the procedures and requirements of the source platform.

You may change or delete any of your information we have, such as your e-mail address, any time by logging in to your Loop account and following the appropriate prompts provided.

You have the right at any time to modify or delete any loop that you created and to cancel Loop services in their entirety. You may also at any time delete a source platform that you have linked to your Loop services or link to your Loop services a source platform that Loop has integrated in its system. You only have to log in to your Loop account and follow the appropriate prompts provided.

If you do not want to receive electronic or other mailings from Loop with respect to marketing or other matters, please contact us at: support@loophq.com and provide your exact name and postal or e-mail address. We will then remove your name from our mailing list, except for communications regarding security breaches, notices of changes in this Privacy Policy or our Terms of Use and other administrative matters.

Upon any termination of service, you may request that we delete any information, documents or images we maintain for you by contacting us at support@loophq.com. Loop will comply with any such request as soon as reasonably practicable.

Our Security Measures

Loop follows generally accepted industry practices and standards to protect the personal and other information we store. The information in the source platforms that you link to your Loop services is protected by the security measures that the source platform has implemented.

You access your Loop services by logging in to your account with Google or Microsoft 365 that you initially linked to Loop Services (see the section above entitled " Initial Sync "). As a result, access to Loop services is protected in the same manner and to the same extent that access to that linked account is protected. This protection should be described in the applicable privacy policy of Google and Microsoft 365. You should review the applicable policy before you enroll in Loop service.

Only those of our employees who need access to your personal and sensitive information will have access to this information. These employees are made aware of and periodically reminded about this Privacy Policy and our security practices.

The contents of all e-mails and other messages, contact lists, tasks and calendar events we store are encrypted by user, by row and “at rest.” All of our transmissions of information to and from the source platforms that you have linked to your Loop services are encrypted. We use secure socket layer (“SSL”) technology for this encryption.

However, despite our security measures, no method of transmission over the Internet or method of electronic storage of information is completely secure, and we cannot guarantee the security of the information available through your Loop services.

In addition, there are many events and circumstances beyond our control that could interfere with access to or the use of Loop services. These events and circumstances could include electrical and other interruptions, interruptions in the availability of the internet, human error, loss or corruption of data, a breach of security or other unauthorized intrusion. We are not responsible for any of these events or circumstances.

If we become aware of a material security breach or other unauthorized intrusion affecting our system, we will use reasonable commercial efforts to notify users electronically, either by e-mail or by posting an appropriate notice on our website. In addition, we will provide users with any notice required by applicable law in the form and manner required by law.

Links to Source Platforms and Other Sites

When you create an e-mail, contact, calendar event, document or file using your Loop services, that information is automatically transmitted to and stored in the applicable linked source platform. When you set up an account with a source platform, you agreed to the terms of service and privacy policy of that source platform. We have no control over these linked source platforms. The terms of service and privacy policy of the source platforms govern your use of the source platform, your rights concerning the information your provided to the source platform and the rights and obligations of the source platform with respect to the information. You do not change any of these rights and obligations when you link the source platform to your Loop services.

The Loop website or this Privacy Policy and our Terms of Use may provide links to other websites as a convenience to Loop users. We do not review and we have no control over these linked websites.

This Privacy Policy does not apply to information users furnish after they enter a linked website and we are not responsible for the privacy or use of any information you furnish to the linked website. Before you access any link to a website provided by Loop, you should read carefully the privacy and other policies posted on the linked website.

Loop does not provide a warning to users about any of the foregoing matters before they enter a linked website or transfer information to a linked source platform.

Blogs and Community Forums

Our website may from time to time offer publicly accessible blogs or community forums. You are free to comment on our blogs and submit information to these forums. Our website may also display reviews of our services that our users and others have posted on third-party sites. Please be aware that this information can be read, collected, reproduced and otherwise used by other users of our services and others . We are not responsible for the information you choose to include in any comment on our blogs or community forums or in a review that another person posts on a third-party site. This Privacy Policy does not apply to any of this information.

Information Concerning Government Regulation

In General. Loop is hosted in the United States and is subject to the laws, rules and regulations as to privacy, data protection and other matters of the United States and its various states. Loop is also subject to the investigatory and enforcement powers of the U.S. Federal Trade Commission.

California Consumer Protection Act.

The California Consumer Privacy Act (“CCPA”) requires Loop to provide California residents with some additional information about the categories of personal information Loop collects and shares, where we get that personal information, and how and why we use it.

This Privacy Policy and the Loop Terms of Use include information about how we may process your information, which includes for "business purposes" under the CCPA - such as to provide Loop services, to protect against illegal activities, and for the development of new products, features and technologies. For more details about the information we collect and how we use the information, please read the sections above entitled “ Introduction ,” “ Information Collected ” and “ How We Use Information. ”

The CCPA also requires Loop to provide a list of the “categories” of personal information it collects--as that term is defined in the CCPA--in the course of providing Loop services and your use of the services. The following is a representative list of categories of personal information that Loop may collect:

+ Identifiers (like your name, contact information and device and online identifiers);

+ Commercial information (your billing information (other than your credit card account information) and purchase history, for example);

+ Characteristics protected by law (for example, you might provide your age, gender or ethnic origin as part of a research survey);

+ Internet or other electronic network activity information (such as your usage of Loop services);

+ Geolocation data (such as your location based on your IP address);

+ Audio, electronic, visual or similar information (such as a profile picture, if it is uploaded to a linked source platform);

+ Professional or employment-related information (for example, the name of your company); and

+ Inferences Loop makes as result of your use of Loop services (such as the prioritization of information or likelihood of retention or attrition).

A user who is a California resident, has additional rights under the CCPA, subject to any exemptions provided by the law. These rights include the right to:

+ Request to know the categories of personal information Loop collects, the categories of business or commercial purpose for collecting and using it, the categories of sources from which the information came, the categories of third parties with which the personal information is shared, and the specific pieces of information Loop collects about the user;

+ Request deletion of personal information Loop collects or maintains;

+ Opt out of any sale of personal information; and

+ Not receive discriminatory treatment for exercising its rights under the CCPA.

A user who is a resident of California may make any of these requests by sending such request to support@loophq.com. We will comply with these requests as required by the CCPA, subject to verifying your identity.

HIPAA

The U.S. Health Insurance Portability and Accountability Act (“HIPAA”) prohibits the disclosure by certain “covered entities” and their business associates of an individual’s protected health information without a valid authorization of the individual. If and to the extent that Loop is a covered entity (or a business associate of a covered entity) under HIPAA, by using Loop services, you automatically authorize us to use and disclose any protected health information available through the use of Loop services in the same manner and for the same purposes we use and disclose other information that are described in this Privacy Policy.

The Loop Terms of Use contains certain additional information about certain laws and regulations applicable to Loop services.

Limitations of Liability

Loop’s Terms of Use contains exclusions and limitations on our responsibility and liability with respect to a number of matters, including the loss, unauthorized use, corruption or lack of accuracy, completeness or correctness of any information available through the use Loop services. This includes information in your linked source platforms.

Resolution of Disputes

Loop;s Terms of Use require that any dispute relating to this Privacy Policy be resolved in a court located in the City, County and State of New York without a jury trial.

Merger or Sale of Loop

If Loop completes a merger, consolidation, business combination or other sale of Loop or a sale or other transfer of its business and assets, the information we have collected from users, including personal and other sensitive information, will be transferred to the purchaser of the business and assets. After the transfer, the information will be subject to the privacy policy of the purchaser.

Amendments to this Privacy Policy

Loop reserves the right to change this Privacy Policy in whole or in part at any time and from time to time. Changes will be posted on the Loop website and will be effective upon posting. If we make any material change to this Privacy Policy, we will make a reasonable commercial effort to notify users a reasonable time prior to the effectiveness of the change either by e-mail or by posting the notification on the Loop website. If you use Loop services following any such change you will have accepted the change.

This Privacy Policy is a part of Loop’s Terms of Use. Terms of Use and this Privacy Policy, including the provisions that permit Loop to process, use and disclose your information in accordance with this Privacy Policy and the provisions that limit our liability under certain circumstances and for certain matters.
